How do you change the address of your registered office?



All communication related to a business is conducted at the registered office of a company. In addition to the registered office, a company can also have a corporate office, branch, factory, or administrative office. While the registered office of a company in India has to be registered with the Ministry of Corporate Affairs, the other branches and offices can be opened without notifying the ROC beforehand.

A company's domicile (state of incorporation) will be determined by its registered office in India. The ROC will be determined by the state or location in which the company's registered office is located. The ROC must be notified within 15 days of any change in address of registered office of a company.

What should be done if the registered office address needs to be changed?

After the registered office of a company is declared by filing the INC 22. If its registered office changes, it should be notified to the ROC within 15 days of the change. Changes in registered office addresses within the same city, town or village must be notified within 15 days by filing the relevant forms.

In cases where the registered office address is located outside of the city, town or village limits, a special resolution must be passed by the company's registered office. If the company decides to move its registered office from one ROC jurisdiction to another, it must be approved by the Regional Director of that ROC.
